    Requirements for Incorporting a Private Limited Company

    Mandatory Requirements

    Following are required –

    1. All Directors must have a PAN card
    2. Every Directors must have a DSC (Digital Signature)
    3. All Directors must have a DIN (We provide these with our packages)
    4. The Company must have a Registered Address [This can be self owned, rented/leased]

    ID Proof

    Documents required-

    1. PAN card of the Directors; and
    2. Aadhaar Card or Voter ID; and
    3. Photos of all the Directors;
    4. Incase of Foreign Nationals –
      1. Notarised Copy of Passport
      2. Notarised Copy of MOA and AOA
      3. Incase of visit to India, Proof of Valid Business Visa

    Address Proof

    Documents required for the registered address –

    1. Sale Agreement/Purchase Agreement [in case of self owned property];or
    2. Rent Agreement incase of rented property and NOC from the Landlord; and
    3. Latest Utility Bill [ Electricity/water bill not older than 2 months]

    The Process for Starting Your Company

    Obtain DSC

    All Directors must have a DIN. For obtaining a DIN, a Digital Signature (DSC) is required. Getting a DSC takes about 1 to 3 days. A normal class 2 digital signature can be used at the MCA website.

    Name Reservation

    The next thing to do is apply for a name. 2 names have to be submitted to MCA for approval. These names should not be similar to any of the names of the existing companies or registered trademarks.

    The approval process usually takes 2-3 working days.

    Documentation

    Once the name is approved, the application for incorporation is prepared.

    The AOA and MOA are prepared/modified. These along with the application for incorporation and the necessary attachments are prepared and reviewed by us.

    Registration

    The AOA and the MOA along with all the documents are submitted to the ROC [MCA] for approval. As a result of the recent changes in procedures, applications are typically processed within 3 working days. The company receives its incorporation certificate after which it can start its operations.
